By accessing or using Kiwi Suite ("the Service"), available at thekiwisuite.com, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Kiwi Suite is a professional web-based platform for creating DTF (Direct-to-Film) gang sheets and related design workflows. The Service includes tools for image arrangement, background removal, AI-powered image editing, halftone generation, sticker creation, and other design utilities. Features available to you depend on your subscription tier.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

4. Subscriptions and Payments

Kiwi Suite offers subscription plans billed on a monthly basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

Grandfather Pricing: Subscribers who lock in the grandfather promotional rate of $19.99/month will retain that rate for as long as their subscription remains active and in good standing. If a subscriber cancels their subscription, the grandfather rate is forfeited permanently and the subscriber will be subject to standard pricing upon re-subscription.

We reserve the right to modify subscription pricing with reasonable advance notice. Any price changes will not affect active grandfather-rate subscribers as long as their subscription remains uninterrupted.

5. Intellectual Property

The Kiwi Suite software, platform, and all associated technology are patent pending. All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, and software — are the exclusive property of Kiwi Suite and are protected by applicable intellectual property laws.

You retain ownership of all images, designs, and files you upload to or create using the Service ("Your Content"). By using the Service, you grant Kiwi Suite a limited, non-exclusive license to process and display Your Content solely for the purpose of providing the Service to you.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology, nor may you reverse engineer or attempt to extract the source code of the Service.

6. Acceptable Use

You agree not to use the Service to:

• Upload, create, or distribute content that infringes any third-party intellectual property rights, including copyrighted images or trademarked logos without authorization.
• Upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
• Use automated scripts, bots, or scrapers to access the Service without prior written consent.
• Resell or sublicense access to the Service without a written white-label or reseller agreement with Kiwi Suite.

7. Your Content and Copyright

You are solely responsible for ensuring that any images, artwork, or designs you upload to Kiwi Suite do not infringe the intellectual property rights of any third party. Kiwi Suite does not screen uploaded content for copyright compliance and is not liable for any infringement arising from Your Content.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Kiwi Suite does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Kiwi Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if Kiwi Suite has been advised of the possibility of such damages. In no event shall Kiwi Suite's total liability to you exceed the amount you paid to Kiwi Suite in the twelve (12) months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
